GREENSCREEN FILM FEST - TERMS AND CONDITIONS

1.    GreenScreen Film Fest Acceptance Criteria
1.1. All filmmakers must agree to the Terms and Conditions as a condition of entry of Film to GreenScreen Film Fest 2021/22,
referred to as GSFF 2.
1.2. All Films submitted to GSFF 2 must meet the GSFF Acceptance Criteria in all respects.
1.3. GSFF Acceptance Criteria include:
a)    All Films must respond to the Green Screen Challenge theme (GSC) and include a short, written explanation as to how the
theme has been met.
b)   Filmmakers may include the GSC in the Film submitted in any manner and any interpretation of :
‘A fast as you can. As slow as you dare.’
c)   The Film must be no longer than 7 minutes (including titles and credits). Recommended length is 3-5 minutes.
d) Use Green Screen for at least 1 minute of its running time. A Green Screen includes any colour screen (eg. green, blue, pink)
suitable for chroma key compositing and/or digital virtual backgrounds such as Unreal Engine and Blender.
e)  All genres are accepted.
f)   Films may not contain any of or suggest or promote anything that is violent, racist, defamatory, obscene, pornographic, hateful,
sexual, culturally or ethnically offensive in any way.
g)   Films can be in any language. Any dialogue not in English must have English subtitles. Translations for submissions must be
accurate and exact. Any Film with misrepresented subtitles will be removed immediately.
h)   GSFF will not accept unfinished, in-progress or rough-cut projects. GSFF will accept one version of each entry only. No updates to
original entry are allowed.
i)     GSFF is not responsible for broken or non-functioning film submissions.
j)     A film that has been entered cannot be withdrawn, unless GSFF decides otherwise.
k)    It is understood that not all filmmakers have access to professional cameras. Consumer cameras and cell phones may be used
and are encouraged. The focus in on story and creativity and use of a green screen. However, quality submissions are expected.
l)     Filmmakers are encouraged to create three or more locations within the film, using Green Screen technology, whether it be
digital virtual backgrounds or a physical Green Screen. Filmmakers are encouraged to embrace the style of the Green Screen with
a purpose of imagination, creativity and story.
m)  The Film must be submitted in the following format:

Aspect Ratio: Landscape
Codec: Most file formats are accepted for submission, but H.264 or MP4 formats are best for on-line previewing at the
time of submission. Maximum video bit rate: 2200Kbps.
Duration: Maximum length is 7 minutes – 00:07:00 (including titles & credits).
File size:                 Initial upload size is limited to 10GB on FilmFreeway. Alternatively, Filmmakers can link their film via YouTube or
Vimeo link. GSFF can accommodate higher quality files for the purpose of the online award show – this will be
negotiated between GSFF and the Filmmaker.

n)    For the avoidance of doubt:
(i) YouTube supports the following video formats for upload: 3GPP, AVI, FLV, MOV, MPEG4 (.MP4), MPEGPS, WebM and WMV.
(ii) GSFF recommends Filmmakers upload their film directly to FilmFreeway accordingly to FilmFreeway’s requirements.
(iii) Alternatively, Filmmakers may link their film to FilmFreeway via Vimeo or YouTube. If GSFF needs to download a Film for
screening at the online award show, Filmmakers will need to enable downloading within Vimeo and communicate this
information to GSFF.
(iv) Important: When linking a film via Vimeo, be sure to update your settings in Vimeo to allow for embedding. The film will still
be password protected. Embedding simply allows the Vimeo video player to be displayed within the FilmFreeway interface.
(v) To allow embedding, go to your film in your Vimeo account, click 'Settings' > 'Privacy' > 'Where Can This Video be Embedded?'
> 'Anywhere'.

Filmmakers must ensure their film/s are downloadable, not just streamed from platforms such as Youtube or Vimeo.

o)    GSFF will evaluate in its sole discretion whether the Film submitted for GSFF 2 meets all Acceptance Criteria.
p)    GSFF will inform in writing (email) if the Film has been accepted or not accepted into GSFF 2. GSFF’s decision as to whether a
Film has met all Acceptance Criteria is final and not subject to any appeal for reconsideration.
q)    Any film not accepted for inclusion for GSFF 2 shall not be used by GSFF for any purpose after the evaluation for Acceptance
Criteria concludes.

2.    GSFF 2 Film Entry Process
2.1. Filmmakers entering Films into GSFF 2 must:
a)    Agree to abide by these GSFF Terms and Conditions;
b)    Complete the Entry Form accessed at filmfreeway.com/greenscreenfilmfest or via the greenscreenfest.com/submit button.
c)    Pay the Entry Fee as outlined in the entry form.
d)    Student and junior entrants will need to list their Educational Institution, Date of Birth and parent/guardian details.   
e)    Accept that all Entry Fees are non-cancellable and are non-refundable.
f)    Upload the Film correctly via our GSFF Submission page on www.filmfreeway.com/greensreenfilmfest by midnight (Pacific Daylight Time) (24:00 PDT) Friday 28 January 2022.
g)    Include with their entry a ‘movie poster’.
h)    Include with their entry a one-line, log line to describe their Film. (Eg. “A young man is transported to the past, where he must
reunite his parents before he and his future cease to exist.’ – Back to the Future)
i)    Upload 3-5 production stills with their Film Freeway entry as proof of their use of Green Screen.
j)    Agree that GSFF accepts no responsibility for any Entry Form or Film that is submitted after the Cut Off Date or not uploaded
correctly or is otherwise damaged.
2.2. The number of Films by one Filmmaker is not limited. Filmmakers can enter as many films as they like. A separate entry form is
required for each Film submitted.

3.   Promotion of Films
3.1. GSFF will use reasonable efforts to maximise any rights it has been granted to promote the Films for the timeframes described in
these terms and conditions.
3.2. GSFF as a not-for-profit entity will use any proceeds it receives as a result of promotion to enable GSFF to be shown in Australia and
around the world, to help ensure GSFF’s sustainability, and to allow us to continue to support GSFF Films and Filmmakers.

4.    Filmmakers grant GSFF rights to Films
4.1. All Films Accepted for entry to GSFF 2
a)    All Filmmakers agree to grant GSFF the following rights to Films that have been Accepted into GSFF 2;
(i)    After the Festival Term, a Non-Exclusive Licence to use, promote, commercialise, and display the Film in perpetuity;
(ii)    A right to edit and create derivative works such as clips from the Film;
(iii)    Until a Film proceeds to Shortlist or Finalist status, when other licenses apply, a Non-Exclusive Licence to use, commercialise,
promote and display the Film during the Festival Term.
4.2. All Films selected for GSFF 2 Shortlist
a)    GSFF may select any Accepted Film to be part of the GSFF 2 Shortlist.
b)    The number of Films selected by GSFF for GSFF 2 is at the sole discretion of GSFF.
c)    As set out in section 17 GSFF will inform in writing (email) if a Film has been accepted for inclusion in GSFF 2 Shortlist.
d)    GSFF determination of whether a Film is selected for GSFF 2 Shortlist is final and not subject to any appeal for reconsideration.
e)    In addition to the rights granted in 4.1(a)(i) all Filmmakers agree to grant GSFF the following rights to Films that have been
included in the GSFF 2 Shortlist:
(i)    After the Festival Term a Non-Exclusive Licence to use, promote commercialise and display the film in perpetuity;
(ii)    From Submission to the end of the Festival Term, a Non-Exclusive Licence to use, commercialise, promote and display the
Film for the Festival Term (the ‘Shortlist Term’);
f)    GSFF agrees to grant the Filmmaker the rights set out below:
(i)    The Filmmaker may submit the film to other film festivals.
(ii)    The Filmmaker may upload Films on personal, non-commercial websites (including but not limited to Facebook and
Youtube) for non-commercial Film and Filmmaker publicity and promotion purposes.
4.3. All Films selected as GSFF 2 Finalists
a)    GSFF may select any Film to be a GSFF 2 Finalist.
b)    The number of Finalists selected by GSFF to be included in GSFF 2 is at the sole discretion of GSFF.
c)    As set out in Section 17 GSFF will confirm in writing (email) if the Film has been accepted or not accepted as a GSFF 2 Finalist.
d)    GSFF determination of whether a Film is selected GSFF 2 Finalist is final and not subject to any appeal for reconsideration.
e)    In addition to the rights granted in Section 4 all Filmmakers agree to grant GSFF the following rights to the Film for all Films that
are selected as GSFF 2 Finalist:
(i)     After the Festival Term, a Non-Exclusive Licence to use, commercialise and promote and display the Film in perpetuity;
(ii)     From Submission to the end of the Festival Term, a Non-Exclusive Licence to use, commercialise, promote and display the
Film for the Festival Term (the ‘Finalist Term’);
(iii)     All Films may include ‘GSFF 2 Finalist’ as a visible credit as required in section 11 of these Terms and Conditions. Such credit if
used must be in the same format at other credits on each copy of the Film in perpetuity.
f)     GSFF agrees to grant the Filmmaker the rights set out below:
(i)     The Filmmaker may submit the Film to other film festivals.
4.4. Films submitted but not Accepted to GSFF 2
a)    If GSFF determines that a Film submitted to GSFF 2 is not accepted for entry to GSFF 2, GSFF shall not seek to retain any further
rights to the Film after the initial review for meeting acceptance criteria.

5.    GSFF 2 Film Evaluation Process – the Judging
5.1. A select number of Films will be selected as GSFF Finalists for viewing and judging at GSFF 2.
5.2. The exact number of Films selected for GSFF Finalists is at the sole discretion of GSFF.
5.3. GSFF decision as to whether a Film is selected as a GSFF Finalist is final and not subject to any appeal for reconsideration.
5.4. GSFF selects a Judging Panel to judge the Finalists, which is made up of industry professionals, including actors, directors, writers,
producers and others (GSFF Judging Panel).
5.5. All members of the GSFF Judging Panel will be published on the GSFF Website.
5.6. The members of the GSFF Judging Panel have agreed to watch the Finalist Films in February 2022 and to score them.
5.7. GSFF will tally the votes from the GSFF Judging Panel and come up with an average score for each Film.
5.8. The Film with the highest average score will win GSFF 2. In the event of a tie of highest average scores – the judges will be instructed
to further evaluate which of the tied Films has used the GSC most effectively to determine a single winner.
5.9. GSFF has specifically asked each member of the GSFF Judging Panel to use his or her best judgement to evaluate the Shortlist Films
based on execution, strength of idea, best use of Green Screen, creativity, expression of the Filmmaker’s talent.
5.10. GSFF has informed each of the GSFF Judging Panel that budgetary constraints are not part of GSFF’s judging criteria.
5.11.  In February 2022, the Judging Panel will select one of the finalist Films as the overall winner of GSFF 2 (Winner), and the
Filmmaker(s) of the winning Film will be awarded a prize/prizes to be determined by GSFF (Winner Award).
5.12. The Judging Panel will also choose any other GSFF award prize winners such as the best actor or similar that may
be awarded at GSFF 2. If a People’s Choice Award is to be given at GSFF 2, the nomination and award criteria will be separately set out
on the GSFF Website.
5.13. A complete description of the Winner Award will be included on the GSFF Website.
5.14. In the event that the recipient of a GSFF 2 Award is under the age of eighteen (18) years, such award will be made payable to the
parent, custodian or legal guardian of such recipient.
5.15.  Any prizes awarded by GSFF 2 are not transferrable, exchangeable or redeemable for cash.

6.    Filmmaker’s Representations and Warranties
The Filmmaker hereby represents and warrants to GSFF that:
6.1. The Filmmaker (s) has/have the sole and full right and authority to accept the Terms and Conditions and enter into this Agreement
and grant the rights granted in the Agreement.
6.2. The Filmmaker owns or has validly licensed all rights required to create the Film including but not limited to all rights from actors,
script all film elements including but not limited to music and to submit the Film to GSFF 2.
6.3. The Filmmaker, the Film comply with the Terms and Conditions.
6.4. The Filmmaker has permission to reproduce and exploit all third-party materials (and/or the results and proceeds of all third-party
services) contained in the Film or upon which the Film is based. These materials include but are not limited to green screen
background stills and video;
6.5. Without limiting other portions of this section 6, the Filmmaker is the sole and exclusive owner, or has permission from the sole and
exclusive owner, of the copyright in the sound recordings compromising the soundtrack of the Film and the music and lyrics
reproduced in those sound recordings;
6.6. All of the performers in the Film have consented in writing to the use of their performances in the Film;
6.7. The Filmmaker has obtained from each contributor to the Film (Contributor), including with respect to the underlying works in the
Film, a written release to use the results and proceeds of the Contributor’s services and/or contributions to the Film including,
without limitation the right to edit, alter and/or reproduce the results and proceeds of the Contributor, in any manner or context, by
the Filmmaker, and any person authorised by the Filmmaker to do so (including GSFF, its assignees and licensees), and such
consents have been obtained to the full extent permitted under the Copyright Act 1968 (Cth)(Moral Rights Consents);
6.8. The Filmmaker has obtained from each Contributor:
a)    Authorisation for GSFF to use the Contributor’s name and likeness in connection with any publicity for the Festival and related
competitions; and
b)    An undertaking that the Contributor will perform publicity appearances for the Festival and related competitions if reasonably
requested by the Filmmaker or GSFF;
6.9. The Filmmaker is entitled to grant to GSFF permission to make use of each and every right referred to in these Terms and Conditions,
and the use or exploitation of the Film as contemplated by the Terms and Conditions will not violate the rights (including copyright)
of any third party;
6.10. The Filmmaker will pay all fees and other charges related to entry of the Film in the Festival;
6.11.  All details submitted in the Entry Form by the Filmmaker are true and correct, and the Filmmaker indemnifies GSFF from and
against any and all claims and demands made against GSFF, its assignees or licensees, in relation to the guarantees provided by the
Filmmaker in this Section 6;
6.12. All residuals or other payments to Contributors in connection with the Film have been paid, together with the cost of all licenses of all
copyright subsists, owned by any third parties and which are used or adapted in the Film;
6.13. No part of the Film is, or will be, actionable for defamation or violate any right of privacy or publicity of any person, and the full use of
the rights in the Film will not violate any rights, including copyright or moral rights, of any person, firm or corporation; and
6.14. The Film is not the subject of any litigation nor is it threatened by any claim or litigation.
6.15. The Filmmaker is expected to promote their Film to encourage viewing of their Film. This is especially important during the lead up
to the online award show, along with tagging @greenscreenfest, #greenscreenfilmfest. and #greenscreenchallenge, #GSFF2 in all social
media.
6.16. Submission to the Festival constitutes permission to screen the Film at the GSFF award show in March 2022 & the online GSFF
viewing platform.

7.    Dubbing/Subtitling/Editing
The Filmmaker acknowledges that GSFF, its assignees and licensees, shall have the right to dub and/or subtitle and to cut and/or edit the Film in any fashion that GSFF deems necessary, including, without limitation, for the purpose of television broadcast or online distribution, packaging the Film with other GSFF Films, to comply with broadcasting statutory censorship practices, standards or regulations or as otherwise may be required by law in any applicable country where the Film may be exhibited.

8.    Names and Likeness
The Filmmaker authorises GSFF to use the Filmmaker’s name, likeness and biography in connection with any publicity for the Festival and related competitions and activities, and the Filmmaker agrees to make best efforts to undertake publicity appearances for the Festival and related competitions and activities as reasonably required by GSFF.

9.    Moral Rights
The Filmmaker acknowledges that GSFF, its assignees and licensees, may do or omit to do anything which may infringe any and all moral rights granted to the Contributors or the Filmmaker including to edit, alter and/or reproduce the work of the Contributors, the Filmmaker and the Film and the Filmmaker consents to these actions by GSFF, and its assignees and licensees, in any manner or context, in perpetuity throughout the world, and such consent is given to the full extent permitted under the Copyright Act 1968 (Cth); and authorises GSFF and its assignees and licensees to do any and all acts comprised in the Moral Rights Consents.

10.    Disqualification
GSFF may, in its sole discretion, disqualify a Film from the Festival without prior notice to Filmmaker if GSFF has reason to believe that a Film does not, for any reason, comply with the Acceptance Criteria or otherwise with the Terms and Conditions.

11.    Credits
Without limiting the rights granted by the Filmmaker to GSFF under these Terms and Conditions, GSFF reserves the right to negotiate with the Filmmaker that GSFF is given a screen credit in the form of the GSFF End Frame logo roll in any future copies of the Finalist or Shortlisted Film distributed by the Filmmaker, or an assignee, licensee or successor of the Filmmaker after the Festival. For the avoidance of doubt, GSFF reserves the right to negotiate with the Filmmaker that GSFF is given a screen credit in any subsequent film or television or other project produced by the Filmmaker, or an assignee, licensee or successor of the Filmmaker, after the Festival, which features one of more of the lead characters of the Film or which is based on the concept or story of the Film (whether or not GSFF is involved in its production) in the following form (or such other form as GSFF and the Filmmaker may agree): Based on the GreenScreen Film Fest short film entitled “______________”

12.    Indemnification
The Filmmaker agrees to indemnify GSFF and hold them harmless from any damages, liabilities, losses, costs, expenses, obligations or claims (including, without limitation, reasonable outside attorneys’ fees and costs) arising out of breach of Filmmaker’s agreements, obligations, representations and warranties under this Agreement, including, without limitation, those representations and warranties made in Section 6 (Filmmakers Warranties and Representations)

13.    Additional Documents
The Filmmaker hereby agrees to execute additional documents GSFF deems necessary or convenient to fully effectuate the grants made to GSFF hereunder, which shall include without limitation, any documents necessary to register and protect the copyright and/or other intellectual property rights in, or related to, the Film.

14.    Remedies
In the event of any breach or alleged breach of this Agreement by GSFF, the Filmmaker’s sole remedy will be limited to the right, if any, to recover monetary damages in an action at law, and in no event will the Filmmaker be entitled to terminate this Agreement or to seek or receive any equitable remedy including without limitation any equitable remedy which would enjoin, restrain or otherwise hinder the Festival or the distribution, exhibition, or any other means of exploitation of the Film, including, without limitation, any advertising, promotion or publicity in connection therewith.

15.    Assignment
GSFF shall have the right to assign this Agreement, in whole or in part, to any person, firm or corporation, and this Agreement shall be binding upon and inure to the benefit of GSFF’s successors, licensees and assigns. The Filmmaker may not assign this Agreement and any purported assignment thereof will be null and void form the making thereof.

16.    General
16.1. The Agreement created by the Terms and Conditions is made in Western Australia and is governed by the Non-exclusive jurisdiction
of the courts of Western Australia.
16.2. The Filmmaker will do such acts and sign, or cause to be signed, such instruments as GSFF may reasonably request for the purposes
of this agreement.
16.3. A reference to a person includes a body corporate. The singular includes the plural and vice versa. Includes and including are not
words of limitation.
16.4. The words and expressions used in this agreement have the meanings given to them in the Copyright Act 1968 (Cth).
16.5. A reference to a Film is a reference to a film accepted for entry via Film Freeway for GSFF 2.
16.6. In the case of any inconsistency between the terms and conditions set out above and any other language used on GSFF Website or
by GSFF, the terms and conditions set out above prevail.

17.    GSFF Important Dates
GSFF agrees to the following dates:

28 January 2022
Closing date for Call for Entries. GSFF must receive the Film by midnight (Pacific Daylight Time) (24:00 PDT) Friday 28 January 2022.

on or before 11 February 2022
If the Film is Shortlisted, GSFF will advise the Filmmaker on or before 11 February 2022.

on or before 11 February 2022
If the Film is not Shortlisted, GSFF will notify the Filmmaker of the Film’s Non-selection before 11 February 2022.

on or before 1 March 2022
If the Film is selected as a Finalist GSFF will notify the Filmmaker whether the Film has been selected as a Finalist on or before 1 March 2022.

on or before 1 March 2022
Finalist Announcement. Finalist Filmmakers will be asked to supply publicity materials prior to this announcement in preparation for the announcement.

26 March 2022
GSFF 2 World Online Award Show - including GSFF 2 Finalists, Junior Finalists and other events including an in-person award show.

Definitions

Accepted
means a Film which meets the GSFF Acceptance Criteria and which will be amongst the entries considered for inclusion in the GSFF 2.

Closing Date means the end of the GSFF 2 online (and in-person) award show.

Cut Off Date means the date set out in 2.1(f)

Entry Fee means AUD$35 or AUD $20 for Junior/Student Entries

Early Bird Entry means AUD $25 or AUD $10 for Junior/Student Entries

Entry Form means the Form the Filmmaker must complete to enter a Film to GSFF 2, located at www.filmfreeway.com/greenscreenfest or via the GSFF website.

Festival Term means the period ending 6 months after the close of the Festival or the staging of GSFF 3, whichever is the longer.

Film means the completed work by the Filmmaker submitted to and accepted by GSFF via Film Freeway.

Filmmaker means the person(s) who created and hold all rights to the Film and are authorised to submit the Film to GSFF pursuant to these Terms and Conditions (and their agents and assignees). Reference to a single Filmmaker includes all Filmmakers relevant to the Film.

Green Screen includes any colour screen (eg. green, blue, pink) suitable for chroma key compositing.

Non-Exclusive License means a Non-Exclusive License throughout the universe, in perpetuity, to distribute, license and otherwise exploit the Film, or any part of the Film, in any and all media, whether now known or hereafter devised, including, without limitation, theatrical; non-theatrical; television (all forms including free, pay, terrestrial, cable, and satellite); pay-per-view, video-on-demand, subscription-video-on-demand, and near-video-on-demand; home video (all forms including videocassettes, DVD, Blu-Ray, and all other types of ideograms , or other analogous home video technology, and including all social, digital and OTT platforms whether now known or hereafter devised); electronic rental, electronic sell-through, download to own, and all other forms of electronic delivery including internet, online, and mobile transmission by any and all means, method, process or device now know or hereafter devised; hotel, airline and ship rights; and all advertising, publicity and promotional rights (including trailers, clips and excerpts).

GSFF means Greenscreen Film Fest Ltd ABN 76 642 702 270

GSFF 2 means the GSFF 2 festival program scheduled for March 2022.

GSFF Acceptance Criteria means the elements set out in section 1 of these Terms and Conditions that all Films must satisfy to be accepted by GSFF as an entry into GSFF 2.

GSFF 2 Finalist means any of the Films selected to premier at GSFF 2.

GSFF Green Screen Challenge theme (or ‘GSC’) is “A fast as you can. As slow as you dare”.

GSFF 2 Shortlist means one of the Films that have been selected by GSFF to progress to the second round of judging.

GSFF Website means greenscreenfest.com
